Orange Specific Terms for SMS Guinea-Bissau
Service Provider: ORANGE GUINEA-BISSAU, whose registered office is located at Praça dos Heróis Nacionais, Bissau, Guinea-Bissau, registered in the national Trade and Company register number 5285 and 1254 of 8th January 2007 (“ORANGE”)

1 SMS Guinea-Bissau (the “Service” or “SMS Guinea-Bissau ”)
SMS Guinea-Bissau allows any clients of Orange (the “Client(s)” or “You” including “Your”) to buy, with their airtime credit, bundles of SMS on the following web site: developer.orange.com (the « Site »).
This bundle of SMS allows You to send SMS including the possibility to request acknowledgment of receipt there of as more described in the Overview page (https://developer.orange.com/apis/sms-gw/ ), through an application (the “API Client”) to subscribers of any operators located in Guinea-Bissau (the“Subscribers”).
You have to be connected to the internet network and should be responsible for its internet access.
The collection of Subscribers’ phone number (also called “MSISDN”) shall be the sole responsibility of the Client notably regarding pre-existing contractual relationships and/or charitable activities.
To benefit of the Service, You firstly have to identify yourself.
2 Price
SMS Guinea-Bissau is provided by Orange according to the pricing described in section 4.7 below. New pricing may be introduced by Orange at any time, in accordance with the provisions of section 7 of the Orange APIs General Terms
3 Contractual Documents
The Terms, as defined in the Orange API General Terms, consist of (i)such Orange API General Terms and (ii) these Orange Specific Terms for SMS Guinea-Bissau including the Overview and Pricing pages as referenced herein. In case of any discrepancy between the Orange API General Terms and the Orange Specific Terms for SMS Guinea-Bissau, the latter shall prevail.
4 Specific Conditions of SMS Guinea-Bissau
4.1. Service Availability
Orange will use its best efforts to provide SMS Guinea-Bissau with reasonable care and skill. Orange will grant no guarantee or warranty with respect to SMS Guinea-Bissau. In addition, Orange informs You that SMS Guinea-Bissau may be subject to (i) cancelation of SMS Guinea-Bissau at any time for technical or operational reasons (in particular but not limited to maintenance operation) or (ii) removal of SMS Guinea-Bissau for indefinite periods of time for any reasons or events that are not under the control of Orange.
4.2. Grant of Rights to Use.
Orange retains all right, title and interest in and to Intellectual Property Rights related to SMS Guinea-Bissau and You are granted a limited right to use the SMS Guinea-Bissau under section 3 of the Orange API General Terms.
4.3.Content of SMS MT (Mobile Terminated) (the “Content”).
The SMS You send to Subscribers may include information with respect to You and/or Your activities, and/or Your products and services, and/or Your contractual relationships with Your Subscribers (for instance, statistics, telemarketing). Those data are developed and stored by You.
4.4 Authorization of Subscribers:
Sending SMS to any individuals (including end-users, customers and subscribers) shall not be considered as a spam therefore You represent and warrant that the Subscribers have previously given their consent in compliance with any applicable law. Non-compliance with any applicable law with respect to the Subscribers’ consent shall be sole responsibility of the Client.
4.5. Transmission of SMS:
In order to send SMS, the Client shall first enter a private code provided by Orange into the API Client and then send SMS to Subscribers.
4.6. Reception of SMS.
The Subscriber is able to receive SMS, provided that Subscriber complies with the following:
a. he/she owns or holds a device compatible with SMS features;
b. his/her device is switched on and the memory card of the device is not full;
c. his/her device is located in an area that is covered by the network of its mobile operator.
4.7. Price and Validity of the bundles of SMS.
Prices, volumes of SMS and periods of validity of bundles of SMS are described in the pages of the Site dedicated to the SMS Guinea-Bissau
The Service is also limited to a maximum amount spent per MSISDN during a specific period of time. Detailed information is available on the Site pages dedicated to SMS Guinea-Bissau (https://developer.orange.com/apis/sms-gw/pricing)
If some SMS are not consumed within the period of validity mentioned on the Site, such SMS are not cancelled but are only usable if the Client recharges with a new bundle of SMS. Therefore, the new SMS are added to the previous bundle of SMS with a new period of validity.
4.8. Confidentiality of the private(s) code(s):
You are solely responsible for the preservation and usage of the private code(s) provided by Orange. The Client undertakes the definition and implementation of the appropriate and effective means in order to preserve confidentiality and his/her disconnection at the end of each session.
4.9. Usage and content of SMS.
You are solely responsible with respect to the content of all SMS sent and notably You shall guarantee Orange – with no liability cap whatsoever- that You hold all rights as regards to the content of the SMS. You warrant and represent that Orange shall not be held liable, directly or indirectly, in case of any claim or dispute with regards to the SMS content.
You shall comply with all applicable laws and regulations, in particular concerning the provisions on personal data, including the collection of all Subscribers required consents.
You shall be prohibited to organize any lottery, gambling, advertising on lottery that may violate applicable laws and regulations.
You agree not to make any of the following available to the public and Subscribers:
· Violent or pornographic message, message that by their nature would be likely to violate respect for the individual and human dignity, or the protection of children and adolescents;
· Messages encouraging the commission of crimes and/or misdemeanors or inciting the consumption of prohibited substances;
· Message inciting discrimination, hate, or violence, religious, sectarian, political, union, or racist messages, or those violating good character, the public order, or likely to violate human dignity or the protection of minors;
· Messages likely to harm Orange.
You may be held liable for messages or information made available to the public and/or Subscribers at any given time, and in particular, messages, information, lists of classified advertisements, and any other information disseminated through hereof.
You shall only make a personal and private use of the acquired SMS.
You shall communicate under Your own name, so that You are clearly identified to Your Subscribers, and You shall not make any reference to Orange and its Brand, as defined in section 5 below, in the SMS.
You will not send any SMS to Subscribers between ten (10) PM and six (06) AM, unless it is a Receiver’s demand. In addition, the Client cannot send more than three (03) SMS messages per day.
You warrant and represent that Orange shall not be liable, directly or indirectly, in case of a claim or dispute with Subscribers for any default affecting your API Client, your services or products and the Content and in particular regarding the accuracy and validity of the phone number (also called “MSISDN”) of the Subscribers.
4.10. Liability.
You shall indemnify Orange Guinea-Bissau for all damages, costs and expenses (including fines, penalties, losses, costs, damages, claims, liabilities, settlements and expenses, attorney’s fees) for any violation of these Terms and/or any violation of applicable laws and regulations.
Orange Guinea-Bissau shall only be responsible, through its SMS center (also called “SMS-C”), for the transmission of the SMS sent by the Client. Orange Guinea-Bissau does not warrant actual receipt of the SMS by Subscribers as there are many technical reasons outside the control of Orange that may impede reception of SMS by Subscribers.
You acknowledge that the execution of the Service also depends on third parties, in particular other operators and/or internet providers. Orange shall not be liable, directly or indirectly, for any default regarding internet access and default of third parties.
Each Party shall be considered liable and must indemnify the other Party against all damages that such other Party may suffer resulting from the first Party’s failure to execute and/or the poor execution of any of its obligations set out in these Terms.
Orange shall in no event be held liable for indirect damages such as loss of a contract, market injury, loss of clients, any commercial disruption, loss of profit, or economic loss that may result from the execution of these Terms.
However, The aggregate liability of Orange arising under or in connection with these Terms for any cause whatsoever and regardless of the form of claim or dispute shall not exceed in the aggregate the total amount of fees paid to Orange by You for the purchase of bundles of SMS during the six (6)-month period prior to the date of any harmful event.
5. Orange Brands, Design Rules and Graphic Resources
The ORANGE brand and any trademarks, brands or logos owned by Orange (the “Brands”) are subject to exclusive rights and You are granted a limited right to use the Brands under section 13 of the Orange API General Terms. When Orange makes available, on Orange Developer website (www.developer.orange.com), (i)some rules with regard to, with no limitation, design, use of the Brands, (the “Design Rules”) and (ii) some graphic resources (such as buttons, error messages, the Brands) (the “Graphic Resources”), You undertake to fully comply with such Design Rules and Graphic Resources.
Any non-compliance with section 13 of the Orange API General Terms, the Design Rules and/or the Graphic Resources may constitute a material breach of these Specific Terms. Therefore, Orange may either suspend these Specific Terms until You fully comply with the Design Rules and the Graphic Resources, or terminate these Specific Terms if You do not fully comply with the Design Rules and the Graphic Resources within a reasonable time.
6 Conditions of Withdrawal of SMS Guinea-Bissau
Notwithstanding section 9 of the Orange API General Terms, Orange will inform You of the termination of SMS Guinea-Bissau one (1)-month in advance of the date of the termination, without prejudice to any claim for damages.
7 Governing Law and Dispute Resolution
Terms shall be governed by and interpreted in accordance with the laws of Guinea-Bissau.
All disputes arising out of or in connection with those Terms which cannot be settled by the Parties within 30 (thirty) days thereafter shall be finally settled by the court in Guinea-Bissau.

SMS Guiné-Bissau permite que qualquer cliente da Orange (o(s) "Cliente(s)" ou "Você" incluindo "Seu") compre, com seu crédito telefónico, pacotes de SMS no seguinte site: developer.orange.com (o "Site") .
Este conjunto de SMS permite-lhe enviar SMS, incluindo a possibilidade de solicitar o seu recibo de recepção, conforme descrito na página Visão Geral (https://developer.orange.com/apis/sms-gw/ ), através de uma aplicação (o “API Client”) aos assinantes de quaisquer operadoras localizadas na Guiné-Bissau (“Assinantes”).
Você tem que estar conectado à rede de internet e deve ser responsável por seu acesso à internet.
A recolha do número de telefone dos Assinantes (também designado por “MSISDN”) será da exclusiva responsabilidade do Cliente, nomeadamente no que diz respeito a relações contratuais pré-existentes e/ou actividades de caridade.
Para se beneficiar do serviço, primeiro tem que se identificar.
2 Preço
O SMS Guiné-Bissau é fornecido pela Orange de acordo com o preço descrito na seção 4.7 abaixo. Novos preços podem ser introduzidos pela Orange a qualquer momento, de acordo com as disposições da seção 7 dos Termos Gerais da API da Orange.
3 Documentos Contratuais
Os Termos, conforme definidos nos Termos Gerais da API da Orange, consistem em (i) tais Termos Gerais da API da Orange e (ii) estes Termos Específicos da Orange para SMS Guiné-Bissau, incluindo as páginas Visão Geral e Preços conforme aqui mencionados. Em caso de qualquer discrepância entre os Termos Gerais da API da Orange e os Termos Específicos da Orange para a SMS Guiné-Bissau, estes últimos prevalecerão.
4 Condições Específicas do SMS Guinea-Bissau
4.1. Disponibilidade do Serviço
A Orange envidará seus melhores esforços para fornecer SMS Guiné-Bissau com cuidado e habilidade. A Orange não concede garantia em relação à SMS Guiné-Bissau. Além disso, a Orange informa que a SMS Guiné-Bissau pode estar sujeita ao (i) cancelamento da SMS Guiné-Bissau a qualquer momento por razões técnicas ou operacionais (em particular, mas não limitado a operações de manutenção) ou (ii) remoção da SMS Guiné-Bissau por períodos indefinidos de tempo por quaisquer razões ou eventos que não estejam sob o controle da Orange.
4.2. Concessão de Direitos de Uso.
A Orange retém todos os direitos, títulos e interesses relativos aos Direitos de Propriedade Intelectual relacionados com a SMS Guiné-Bissau e é-lhe concedido um direito limitado de usar o SMS Guiné-Bissau sob secção 3 dos Termos Gerais da API da Orange.
4.3.Conteúdo do SMS MT (Mobile Terminated) (“Conteúdo”).
O SMS que Você envia aos Assinantes pode incluir informações relativas a Você e/ou Suas atividades e/ou Seus produtos e serviços, e/ou Suas relações contratuais com Seus Assinantes (por exemplo, estatísticas, telemarketing). Esses dados são desenvolvidos e armazenados por você.
4.4 Autorização de Assinantes:
Enviar SMS para qualquer pessoa (incluindo usuários finais, clientes e assinantes) não deve ser considerado como spam, portanto você declara e garante que os assinantes deram seu consentimento em conformidade com qualquer lei aplicável. O não cumprimento de qualquer lei aplicável em relação ao consentimento dos Assinantes será de responsabilidade exclusiva do Cliente.
4.5. Transmissão de SMS:
Para enviar SMS, o Cliente deve primeiro inserir um código privado fornecido pela Orange no API Client e depois enviar SMS aos Assinantes.
4.6. Recepção de SMS.
O Assinante pode receber SMS, desde que o Assinante esteja em conformidade com o seguinte:
a. ele/ela possui um dispositivo compatível com recursos do SMS;
b. o seu dispositivo está ligado e o cartão de memória do dispositivo não está cheio;
c. seu dispositivo está localizado em uma área coberta pela rede de sua operadora telefónica.
4.7. Preço e Validade dos Pacotes de SMS.
Preços, volumes de SMS e períodos de validade de pacotes de SMS são descritos nas páginas do Site dedicadas ao SMS Guiné-Bissau.
O Serviço também está limitado a um valor máximo gasto por MSISDN durante um período de tempo específico. Informações detalhadas estão disponíveis nas páginas do site dedicadas ao SMS Guiné-Bissau (https://developer.orange.com/apis/sms-gw/pricing).
Se alguns SMS não forem consumidos dentro do período de validade mencionado no Site, tais SMSs não serão cancelados, mas serão utilizáveis apenas se o Cliente recarregar com um novo pacote de SMS. Portanto, os novos SMS são adicionado ao pacote anterior de SMS com um novo período de validade.
4.8. Confidencialidade do(s) código(s) privado(s):
Você é o único responsável pela preservação e uso do(s) código(s) privado(s) fornecido(s) pela Orange. O Cliente compromete-se a definir e implementar os meios adequados e eficazes, a fim de preservar a confidencialidade e a desconexão no final de cada sessão.
4.9. Uso e Conteúdo do SMS.
Você é o único responsável em relação ao conteúdo de todos os SMS enviados e, em particular, você deve garantir a Orange - sem qualquer limite de responsabilidade - que você detém todos os direitos no que diz respeito ao conteúdo do SMS. Você garante e declara que a Orange não será responsabilizada, direta ou indiretamente, no caso de qualquer reclamação ou disputa com relação ao conteúdo dos SMS.
Você deve cumprir todas as leis e regulamentos aplicáveis, em particular no que diz respeito às disposições sobre dados pessoais, incluindo a coleta de todos os consentimentos necessários dos Assinantes.
Você será proibido de organizar qualquer loteria, jogos de azar, publicidade de loteria que possa violar leis e regulamentos aplicáveis.
Você concorda em não disponibilizar nenhuma das seguintes informações ao público e aos Assinantes:
· Mensagem violenta ou pornográfica, mensagem que, por sua natureza, violaria o respeito à dignidade humana e individual ou a proteção de crianças e adolescentes;
· Mensagens incentivando a prática de crimes e/ou contravenções ou incitando o consumo de substâncias proibidas;
· Mensagem que incite à discriminação, ódio ou violência, mensagens religiosas, sectárias, políticas, sindicais ou racistas, ou que violem o bom caráter, a ordem pública ou que possam violar a dignidade humana ou a proteção de menores;
· Mensagens que prejudiquem a Orange.
Você pode ser responsabilizado por mensagens ou informações disponibilizadas ao público e/ou assinantes a qualquer momento e, em particular, mensagens, informações, listas de anúncios classificados e qualquer outra informação divulgada através do mesmo.
Você só deve fazer um uso pessoal e privado do SMS adquirido.
Você se comunicará sob Seu próprio nome, para que seja claramente identificado para Seus Assinantes, e não fará qualquer referência à Orange e à sua Marca no SMS, conforme definido na seção 5 abaixo.
Você não enviará nenhum SMS aos Assinantes entre as dez horas da noite (22h00) e as seis da manhã (06h00), a menos que seja uma demanda do Receptor. Além disso, o Cliente não pode enviar mais de três (03) mensagens SMS por dia.
Você garante e declara que a Orange não será responsável, direta ou indiretamente, no caso de uma reclamação ou disputa com os Assinantes por qualquer padrão que afete o seu cliente API, seus serviços ou produtos e o Conteúdo e em particular quanto à precisão e validade do número de telefone (também chamado de “MSISDN”) dos Assinantes.
4.10. Responsabilidade.
Você indemnizará a Orange Guiné-Bissau por todos os danos, custos e despesas (incluindo multas, penalidades, perdas, custos, danos, reivindicações, responsabilidades, acordos e despesas, honorários advocatícios) por qualquer violação destes Termos e/ou qualquer violação das leis e regulamentos aplicáveis.
A Orange Guiné-Bissau só será responsável, através do seu centro de SMS (também chamado “SMS-C”), pela transmissão dos SMS enviados pelo Cliente. Orange Guiné-Bissau não garante o recebimento real do SMS pelos assinantes, devido a várias razões técnicas fora do controle da Orange que podem impedir a recepção de SMS pelos assinantes.
Você reconhece que a execução do Serviço também depende de terceiros, em particular outras operadoras e/ou provedores de internet. A Orange não se responsabilizará, direta ou indiretamente, por qualquer falha relacionada ao acesso à Internet e à inadimplência de terceiros.
Cada Parte será considerada responsável e deverá indemnizar a outra Parte contra todos os danos que a outra Parte possa sofrer, resultantes da falha da primeira Parte em executar e/ou a execução deficiente de quaisquer de suas obrigações estabelecidas nestes Termos.
A Orange não será, em nenhum caso, responsável por danos indiretos, como perda de contrato, lesão no mercado, perda de clientes, qualquer interrupção comercial, perda de lucro ou perda econômica que possa resultar da execução destes Termos.
No entanto, a responsabilidade agregada da Orange decorrente ou relacionada a estes Termos por qualquer motivo e independentemente da forma de reivindicação ou litígio não excederá no total o valor total das taxas pagas à Orange por Si pela compra de pacotes de SMS durante o período de seis (6) meses antes da data de qualquer evento prejudicial.
5. Marcas Orange, Regras de Design e Recursos Gráficos
A marca ORANGE e quaisquer marcas comerciais ou logotipos de propriedade da Orange (“Marcas”) estão sujeitos a direitos exclusivos e é-Lhe concedido um direito limitado de usar as Marcas sob a seção 13 dos Termos Gerais da API da Orange. Quando a Orange disponibilizar, no site da Orange Developer (www.developer.orange.com), (i) algumas regras com relação a, sem limitação, design, uso das Marcas, (“Regras de Design”) e (ii) alguns recursos gráficos (como botões, mensagens de erro, as Marcas) (“Recursos Gráficos”), Você se compromete a cumprir totalmente com tais Regras de Design e Recursos Gráficos.
Qualquer não conformidade com a seção 13 dos Termos Gerais da API da Orange, as Regras de Design e/ou os Recursos Gráficos pode constituir uma violação material destes Termos Específicos. Portanto, a Orange pode suspender estes Termos Específicos até que você cumpra integralmente as Regras de Design e os Recursos Gráficos ou rescindir estes Termos Específicos se Você não cumprir totalmente com as Regras de Design e os Recursos Gráficos dentro de um prazo razoável.
6 Condições de Retirada de SMS Guiné-Bissau
Não obstante a seção 9 dos Termos Gerais da API da Orange, a Orange informará o Cliente da rescisão do SMS Guiné-Bissau um (1) mês antes da data da rescisão, sem prejuízo de qualquer reivindicação por danos.
7 Lei Aplicável e Resolução de Disputas
Os termos serão regidos e interpretados de acordo com as leis da Guiné-Bissau.
Todos os litígios emergentes ou relacionados com esses Termos que não possam ser resolvidos pelas Partes no prazo de 30 (trinta) dias subsequentes serão definitivamente resolvidos pelo tribunal da Guiné-Bissau.
