These Terms constitute the agreement applicable between You (being either a private individual or a company, organization, or legal entity using the Website) and Orange.
By accessing, browsing and/or using the Website, You agree to be bound with full and unreserved acceptance by these Terms. Individuals agreeing to the Terms on behalf of a company, organization, or legal entity represent and warrant that they have the right and authority to act in the name and behalf of such company, organization, or legal entity, to bind such company, organization, or legal entity to the Terms, and to perform fully the obligations under these Terms.
Please note that the usage of specific services, APIs or other elements on the Website may be subject to additional terms and conditions indicated in those services, APIs or other elements.
1. What is the purpose of the Website?
Orange Developer is a website enabling You:
- to access information about, subscribe to and use APIs provided by Orange, its affiliates, or third parties;
- to have a private space, called “My account”, to edit the information supplied during sign-up, and a “My apps’” space to manage Your API subscriptions;
- to access information about partnership opportunities around open innovation.
2. Setting up an Account
To create a Website account (“Account”), You are asked to enter and validate identification and contact information, including an e-mail address.
Your account will be activated by clicking on a link which will be sent to You by e-mail to the address provided during sign-up.
Orange reserves the right to ask You, at any time, to provide proof of identity and to check the data entered to create an Account.
3. Keeping Your Account up to date
The e-mail address associated with Your Account will be used for communication purposes, including for contacting You with important information concerning the Website, Your Account, Your API client applications, and Your subscriptions to Orange APIs.
You guarantee that Your contact information is accurate, and that You will keep it up to date and functional, particularly Your contact e-mail address. This is important for the needs of communication and security.
If our attempts to contact You via the e-mail address associated with Your Account are unsuccessful (for example, if we receive ‘undelivered e-mail’ notifications following attempts to contact You), then Orange reserves the right to suspend or delete your developer Account and all associated data (including, but not limited to, applications, credentials, and subscriptions) (c.f. section 14).
4. Login and passwords
All elements enabling You to connect to the Account are confidential. You are informed that any disclosure of Your login details to a third party is Your sole responsibility. It is specified that any use of Your login details is made under Your sole responsibility. Any act carried out using Your login details will therefore be deemed to have been carried out by You.
In the event of loss or theft of one of the login details, You shall immediately inform Orange at support.dev@orange.com. In this event only, and subject to You having fully informed Orange of such loss or theft, You shall not be liable to Orange for any use of Your login details by a third party. Upon receipt of such information, Orange may proceed with the suspension of these login details but will not be held responsible for any use that may have been made of them between the time of their loss or theft and their suspension.
You can change Your password at any time in ‘My account’.
For security reasons, You will be required to change Your Orange Developer account password at least once every twelve (12) months.
5. The Content
The content relating directly to APIs or other editorial content (including all information, data, documents, pictures, videos, drawings, audio tracks, graphics, design, brands and logos, and database content) contained on or available through the Website (the “Content”) is provided by Orange, its affiliates, independent content providers or third parties. It is protected by copyright of Orange, its affiliates, independent content providers or third parties. All rights are reserved and any reproduction, copy, modification, transfer, distribution, or storage of all or part of the Content in any form or by any means without the prior written permission of Orange is prohibited.;
6. Ownership
Orange provides its own Content or has obtained the appropriate rights from its affiliates, independent content providers or third parties on part of the Content published on the Website or available through the Website.
A list of third-party, open-source software modified by Orange and used by the Website is available at the end of this document.
The Orange word, name, symbol, device, or any combination thereof, and any “Orange” product or service name referred to on the Website are trademarks of Orange or its affiliates and subsidiaries. Any Orange Content published on the Website or available through the Website is copyright of Orange or its affiliates and subsidiaries. Other products or names mentioned in this Website, or any Content published on the Website or available through the Website may be copyright and/or trademarks or trade names of their respective owners. Your access to the Website should not be construed as granting, by implication or otherwise, any licence or right to use any trademarks or Content and/or any other copyrighted material appearing on the Website without the prior written consent of Orange or the third-party owner thereof. Nothing in these Terms is intended to transfer to You, any ownership rights of the Content or of the Website, or of the trademarks of Orange or its Affiliates.
Orange reserves the right to monitor the use of its trademarks and Content to ensure compliance with these Terms. This may include periodic reviews of products developed by You, related marketing materials, and any other use of Orange trademarks and Content.
Orange also reserves the right to pursue any legal remedies available under applicable law, in the event of unauthorized use or misuse of its trademarks or Content.
7. Third Parties’ Sites
For ease of access, Orange may include links to sites on the internet that are owned or operated by third parties. You agree to review and agree to any such site’s rules of use before using such sites. You also agree that Orange has no control over the content of any such sites and cannot assume any responsibility for material created or published by such third-party sites. In addition, a link to a non-Orange site does not imply that Orange endorses that site, the contents published on that site, or the products or services referenced on that site.
8. Right of Use (License)
Orange grants You a non-exclusive, non-transferable, revocable, worldwide, and non-sublicensable right to use the Website (including its Content) for Your use only. This right to use is subject to compliance with these Terms.
The right to use does not allow You:
- to access or use the Website source codes and/or any of its software components;
- to use, copy, modify or distribute the Website and/or any of its software components;
- to dismantle, decompile or translate the Website and/or any of its software components, except as expressly authorized by the applicable laws or regulations;
- to sub-license or concede the Website and/or any of its software components.
The license rights of this section 8 are intended to be limited to the license rights explicitly stated therein and grant no other rights under these Terms.
9. Supply of information other than personal information
By submitting to Orange any non-personal information or material (for example, the name or description of Your service or client application which uses an Orange API), You grant Orange a restricted right to use such non-personal information or material for the sole purpose of putting You in contact with relevant people at Orange or at its affiliates or at third parties. Therefore, You accept that Orange discloses such non-personal information or material to any of its affiliated companies and/or third parties. Your non-personal information or material will not be used for any other purposes and will remain confidential within Orange, its affiliates and third parties. In case You have any other opportunity to work with Orange, any of its affiliates and/or any third parties and wish to use any services provided by Orange, any of its affiliates and/or any third parties (including the distribution of Your service or application), specific agreements will apply to such services and suitable rights to use Your non-personal information or material will be granted.
10. Orange Liability
The Website and its Content is provided as a convenience to You. The Website and its Content are provided on an “as is” and “as available” basis. Orange does not guarantee that the Website’s web pages and its Content will be uninterrupted or error-free or fit for any particular purpose. Orange reserves the right, at any time and at its own discretion, to revise the Website’s pages and Content or withdraw access to the Website and its Content [HS1] or any part of it. No warranty of any kind, express or implied, including but not limited to warranties of title or non-infringement or implied warranties of merchantability or fitness for a particular purpose, is made in relation to the availability, accuracy, reliability or content of the Website and its Content. Orange shall not be liable for any indirect, special or consequential damages, lost profits, loss of sales, loss of customers, damage to image and/or reputation and loss of data, or for business interruption arising out of the use of or inability to use this Website and its Content, even if Orange has been advised of the possibility of such damages. Some jurisdictions do not allow exclusions of certain warranties or limitations of liability, so the above limitations or exclusions may not apply to You. The liability of Orange would in such case be limited to the greatest extent permitted by law.
With the exception of the aforementioned exclusions, Orange’s liability in relation to the Website [BRID2] and its Content is limited, per user and per calendar year, to the sum of one thousand (1,000) euros for all damages. In any event, beyond this limit, You waive all recourse against Orange, and You will ensure that Your insurers waive all recourse against Orange.
11. Your liability
You are responsible for using the Website correctly (including its Content) and for using your Account appropriately. You are responsible for the content, accuracy and updating of the information provided to Orange. You shall indemnify Orange against any and all claims that may be brought against Orange as a result of non-conforming use of your Account and/or the Website (including its Content). You shall indemnify Orange against any damages resulting from any legal action taken by third parties against Orange in relation with your use of the Website and/or its Content.
12. Use of the Internet
The Website is accessed via the Internet which is independent of Orange. Use of the Internet is solely at Your own risk and is subject to all applicable national and international laws and regulations. Orange has no responsibility for any information or service obtained by You on the Internet.
13. Data privacy
You are hereby informed and accept that Orange collects data on the Site for the purposes described in the Privacy Notice.
Regarding the management of personal data in connection with the use of specific Orange APIs, You are invited to consult the relevant information relating to data privacy in the terms and conditions of those APIs.
14. Duration, limitation, suspension, and termination
14.1 These Terms between You and Orange shall be applicable upon the creation of Your Account and shall continue for so long as You are using Your Account, unless terminated in accordance with these Terms.
14.2 Suspension. Orange reserves the right to suspend the Account, at any time and without notice, if You fail to comply with any of Your obligations. You will be informed by e-mail of the reasons for such suspension. After suspension, Orange may terminate the Account according to article 14.3.
14.3 Termination by Orange. Orange reserves the right to terminate the Account if:
- You have breached any provision of the Terms; or
- Orange is required to do so by law; or
- You enter into an arrangement or composition with or for the benefit of its creditors, go into administration, receivership or administrative receivership, are declared bankrupt or insolvent or are dissolved or otherwise cease to carry on business, or any analogous event happens to You in any jurisdiction in which You are incorporated or resident or in which You carry on business or have assets; or
- You have no active subscriptions to an Orange API (i.e. no API calls in a period of 12 months) and you have not connected to the Orange Developer website for a period of 12 months; or
- Orange’s attempts to contact You via the e-mail address associated with Your Account have been unsuccessful; or
- Following a 30-day suspension period due to Force Majeure according to article 18.
In such case, Orange will make reasonable efforts to inform You by e-mail one (1) month prior to such termination. You will not be entitled to any compensation of any nature whatsoever.
14.4 Termination by You. You may delete Your Account at any time. You will no longer be able to use Orange APIs after deleting Your Account.
15. Changing the Website
Orange may at any time and at its own discretion discontinue, modify, or upgrade any feature, design or functioning of the Orange Developer Website. Such modifications may impact Your usage of the Orange Developer Website, or Your access to the API catalogue.
16. Change of the Terms
Orange reserves the right to vary from time to time the Terms, such variations becoming effective immediately upon publication of the varied Terms on the Website. By continuing to use the Website, you will be deemed to have accepted the updated Terms available on the Website.
17. Severability
If one or more of the provisions of the Terms are found by a competent court or authority to be invalid, illegal, or unenforceable in any respect under any applicable law or regulation, the validity, legality, and enforceability of the remaining provisions contained herein shall not in any way be affected or impaired, provided that in such case Orange will use its best efforts to achieve the purpose of the invalid provision by a new legally valid stipulation to the same (or substantially similar) purpose and effect.
18. Force Majeure
Should an event of force majeure, as defined by applicable law or related case law, make it impossible for Orange to perform its obligations under these Terms, Orange’s obligations shall first be suspended for the duration of said force majeure event. If the suspension lasts more than thirty (30) days, then Orange may terminate your Account as per article 14.3.
19. Choice of Law – Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of France. You and Orange agree to submit to the jurisdiction of the courts of France, for any claim or matter arising under or in connection with these Terms.
